Pursuant to the Brazilian Corporation Law (Lei das S.A.), in the first four months of each year, Ultrapar must held an Annual Shareholders’ Meeting to decide on the allocation of the net income for the previous fiscal year and on the distribution of dividends, as proposed by the Board of Directors.
Ultrapar Bylaws provide for a mandatory minimum distribution of 25% of adjusted net income. The Board of Directors can approve the distribution of dividends and / or interest on equity calculated based on the annual, semi-annual or shorter-period financial statements.
Dividends must be distributed within 60 days from the date of their declaration or on another date to be determined by the shareholders. According to Ultrapar Bylaws, dividends not claimed in three years, from the day they were made available, are reversed in favor of the company.
